1. Agreement to Terms

By accessing and using the services of Hostgrid Social ("we", "us", "our"), you ("client", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you may not use our services.

2. Services Provided

We provide professional social media services including but not limited to: account creation, profile setup, branding, content creation, publishing, scheduling, community management, and strategy consulting. The specific services, deliverables, timelines and fees are detailed in each quotation ("Quote") issued to you.

3. Quotations and Acceptance

All services are provided based on accepted Quotes. A Quote becomes binding upon your explicit acceptance via our dashboard or written confirmation. We reserve the right to revise a Quote before acceptance. Once accepted, the Quote forms part of these Terms.

4. Payment Terms

• Payment is due as specified in the accepted Quote (typically 50% upfront, 50% on delivery for projects; monthly in advance for retainers).
• We accept bank transfer, UPI, and payment gateway transactions. Payment gateway fees, if any, are borne by the client.
• Late payments may incur interest at 1.5% per month or the maximum permitted by law.
• We reserve the right to pause services for overdue accounts.

5. Client Responsibilities

• Provide accurate brand assets, logos, guidelines, and access credentials in a timely manner.
• Review and approve content within the agreed timeframe (typically 2 business days).
• Notify us promptly of any changes to brand strategy, access credentials, or contact information.
• Ensure all provided content and assets do not infringe third-party rights.

6. Intellectual Property

Upon full payment, all final deliverables (posts, graphics, videos, copy) become your property. We retain the right to use delivered work in our portfolio unless otherwise agreed in writing. Working files, templates, and internal processes remain our property.

7. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement, including business strategies, metrics, credentials, and unpublished content. This obligation survives termination.

8. Limitation of Liability

Our aggregate liability for any claim arising from these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.

9. Termination

• Either party may terminate a monthly retainer with 30 days' written notice.
• Project-based engagements terminate upon delivery and acceptance of final deliverables.
• We may terminate immediately for material breach, non-payment, or if your content violates platform policies or applicable law.
• Fees for work completed up to termination are non-refundable.

10. Platform Policy Compliance

All services are delivered in compliance with the terms of service of each social platform (Meta, Google, LinkedIn, X, etc.). We are not responsible for platform policy changes, algorithm updates, or account actions taken by platforms.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Disputes shall be resolved by binding arbitration in Mumbai, India, in English, under the Arbitration and Conciliation Act, 1996.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use constitutes acceptance.
